Terms of Service

These Terms of Service ("Terms") govern your access to and use of WatsonWise—the website, application, and related services (collectively, the "Service") operated by WatsonWise ("we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

WatsonWise provides tools to help you view and understand personal financial information you choose to connect or upload. Features may include dashboards, categorization, summaries, and AI-assisted explanations. We may change, suspend, or discontinue features at any time. The Service is not a bank, broker-dealer, investment adviser, or credit counselor.

2. Eligibility and accounts

You must be able to enter a binding agreement in your jurisdiction and meet any minimum age we require (e.g., 18+ where applicable). You are responsible for your account credentials and for all activity under your account. You agree to provide accurate information and to keep it updated where we ask you to.

3. Financial data and third-party connections

If you connect financial accounts, that connection is typically provided by a third party such as Plaid. Your use of those services is also subject to their terms and privacy policies. We do not control banks or third-party APIs and are not responsible for outages, errors, or changes they make. Historical balances and transactions may be delayed or incomplete.

4. No professional advice

The Service is for informational purposes only. Nothing in the Service is tax, legal, investment, or other professional advice. You alone decide how to use your money. Consult qualified professionals for decisions that affect your taxes, investments, or legal obligations.

5. AI-generated content

Some features use artificial intelligence. AI output can be incorrect, incomplete, or outdated. Do not rely on it as the sole basis for important decisions. You are responsible for verifying information against your statements and official sources.

6. Acceptable use

You agree not to:

• Violate law or others' rights
• Probe, attack, or overload the Service or other users' accounts
• Reverse engineer or scrape the Service except as allowed by law
• Use the Service to build a competing product by scraping or bulk extracting our data
• Share access in a way that compromises security (e.g., sharing passwords)

7. Intellectual property

The Service, including its design, text, graphics, and software (except your data), is owned by us or our licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to use the Service for your personal, non-commercial use as intended.

8. Privacy

Our Privacy Policy describes how we collect, use, and share personal data. Using bank linking and AI features involves processing data you provide and data from providers such as Plaid or model vendors—read that policy before using those features.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU DID NOT PAY US.

11. Indemnity

You will defend and indemnify us against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your content, or your breach of these Terms, to the extent permitted by law.

12. Termination

We may suspend or terminate access to the Service at any time, with or without notice, including for violation of these Terms or risk to the Service. You may stop using the Service at any time. Provisions that by their nature should survive will survive termination.

13. Changes

We may update these Terms by posting a new version and updating the "Last updated" date. Continued use after changes constitute acceptance unless we say otherwise or law requires more. If you do not agree, stop using the Service.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.

Except where mandatory consumer protection laws in your country of residence require otherwise, you agree that the state and federal courts located in Delaware shall have exclusive jurisdiction and venue for any dispute arising from these Terms or the Service.
